Welcome to Remote Robotic! The terms "we", "us" and "our" refer to Remote Robotic. Remote Robotic operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the "Services"). Remote Robotic is powered by Shopify, which enables us to provide the Services to you.
The below terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms") describe your rights and responsibilities when you use the Services. Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.
By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or Privacy Policy, you should not use or access our Services.
Section 1 — Access and Account
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, and you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase or manage.
To use the Services, including accessing or browsing our online stores or purchasing any of the products or services we offer, you may be asked to provide certain information, such as your email address, billing, payment, and shipping information. You represent and warrant that all the information you provide in our stores is correct, current and complete and that you have all rights necessary to provide this information.
You are solely responsible for maintaining the security of your account credentials and for all of your account activity. You may not transfer, sell, assign, or license your account to any other person.
Section 2 — Our Products
We have made every effort to provide an accurate representation of our products and services in our online stores. However, please note that colors or product appearance may differ from how they may appear on your screen due to the type of device you use to access the store. We do not warrant that the appearance or quality of any products or services purchased by you will meet your expectations or be the same as depicted.
All descriptions of products are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit the quantities of any products that we offer to any person, geographic region or jurisdiction.
Section 3 — Orders
When you place an order, you are making an offer to purchase. Remote Robotic reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until Remote Robotic confirms acceptance. We must receive and process your payment before your order is accepted.
Your purchases are subject to return or exchange solely in accordance with our Refund Policy.
Section 4 — Prices and Billing
Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed. Unless otherwise expressly stated, posted prices do not include taxes, shipping, handling, customs or import charges.
You represent and warrant that the credit card information you provide is true, correct, and complete, you are duly authorized to use such credit card for the purchase, charges incurred by you will be honored by your credit card company, and you will pay charges incurred at the posted prices, including shipping and handling charges and all applicable taxes.
Section 5 — Shipping and Delivery
We are not liable for shipping and delivery delays. All delivery times are estimates only and are not guaranteed. Once we transfer products to the carrier, title and risk of loss passes to you.
Section 6 — Intellectual Property
Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and the design, selection, and arrangement thereof, are owned by Remote Robotic, its affiliates or licensors and are protected by U.S., Canadian and foreign patent, copyright and other intellectual property laws.
These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without our prior written consent.
Section 7 — Optional Tools
You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor have any control nor input. We provide access to such tools "as is" and "as available" without any warranties of any kind. Any use of optional tools is entirely at your own risk.
Section 8 — Third-Party Links
The Services may contain materials and hyperlinks to websites provided or operated by third parties. We are not responsible for examining or evaluating the content or accuracy of any third-party materials and are not liable for any harm or damages related to your access of any third-party websites.
Section 9 — Relationship with Shopify
Remote Robotic is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Remote Robotic. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Remote Robotic.
Section 10 — Privacy Policy
All personal information we collect through the Services is subject to our Privacy Policy, and certain personal information may be subject to Shopify's Privacy Policy.
Section 11 — Feedback
If you submit, upload, post, email, or otherwise transmit any ideas, suggestions, feedback, reviews, proposals, plans, or other content ("Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute and display such Feedback in any medium for any purpose, including for commercial use.
Section 12 — Errors, Inaccuracies and Omissions
Occasionally there may be information on or in the Services that contain typographical errors, inaccuracies or omissions. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information is inaccurate at any time without prior notice.
Section 13 — Prohibited Uses
You may access and use the Services for lawful purposes only. You may not access or use the Services for any unlawful or malicious purpose, to violate any laws, to infringe upon intellectual property rights, to harass any person, to transmit false or misleading information, or to engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services.
Section 14 — Termination
We may terminate this agreement or your access to the Services in our sole discretion at any time without notice, and you will remain liable for all amounts due up to and including the date of termination.
Section 15 — Disclaimer of Warranties
The information presented on or through the Services is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information.
EXCEPT AS EXPRESSLY STATED BY REMOTE ROBOTIC, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTIES OR CONDITIONS OF ANY KIND.
Section 16 — Limitation of Liability
TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO CASE SHALL REMOTE ROBOTIC, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING FROM YOUR USE OF ANY OF THE SERVICES.
Section 17 — Indemnification
You agree to indemnify, defend and hold harmless Remote Robotic, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities or claims arising out of your breach of these Terms or your violation of any law or the rights of a third party.
Section 18 — Severability
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms.
Section 19 — Waiver; Entire Agreement
The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. These Terms constitute the entire agreement between you and us.
Section 20 — Assignment
You may not delegate, transfer or assign this Agreement or any of your rights or obligations under these Terms without our prior written consent. We may transfer, assign, or delegate these Terms without consent or notice to you.
Section 21 — Governing Law
These Terms of Service shall be governed by and construed in accordance with the federal and provincial courts in the jurisdiction where Remote Robotic is headquartered.
Section 22 — Headings
The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.
Section 23 — Changes to Terms of Service
We reserve the right, in our sole discretion, to update, change, or replace any part of these Terms of Service by posting updates and changes to our website. Your continued use of or access to the Services following the posting of any changes constitutes acceptance of those changes.

Remote Robotic — Terms & Conditions of Sale
These Terms and Conditions of Sale ("Terms") apply to all sales of goods and related services ("Products") supplied by Remote Robotic Systems Inc. ("Supplier" or "Remote Robotic") to the customer ("Customer"). By issuing a Purchase Order to Remote Robotic, Customer agrees to be bound by these Terms unless a separate written agreement is executed by both parties.
1. Acceptance of Purchase Orders
Sales of Products referenced in Customer's Purchase Order are expressly conditioned upon these Terms. Any additional or different terms proposed by Customer are rejected unless expressly accepted in writing by an authorized representative of Remote Robotic.
A Purchase Order is not accepted until Remote Robotic issues a written acknowledgment. Any amendment, revision, or cancellation of an accepted Purchase Order must also be approved in writing by Remote Robotic.
2. Prices and Taxes
2.1 Pricing. All pricing provided by Remote Robotic in a quotation ("Price") is in Canadian Dollars unless stated otherwise. Customer's Purchase Order may not alter or amend quoted prices, quantities, or scope unless agreed to in writing by Remote Robotic.
2.2 Taxes. Prices exclude all taxes, levies, duties, customs fees, and government charges of any kind ("Taxes"). Customer is responsible for paying all Taxes in addition to the Price. If Customer's payment is subject to withholding tax, Customer must gross up the payment so Remote Robotic receives the full amount quoted. Customer must provide certificates or documentation required to claim any tax exemption.
3. Packaging and Shipping
Remote Robotic will package Products according to standard commercial practices. If Customer requires special packaging, shipping, or handling, Customer must notify Remote Robotic in advance and is responsible for all additional costs.
4. Delivery, Title & Risk of Loss
4.1 Delivery Estimates. Delivery timelines provided by Remote Robotic are estimates only. Remote Robotic is not liable for delays or resulting damages. Partial deliveries are permitted.
4.2 Delivery Terms. Unless otherwise agreed in writing, delivery occurs FOB Customer site as specified in the Purchase Order.
4.3 Transfer of Title & Risk. Title and risk of loss transfer to Customer upon delivery of the Products to the location specified in Customer's Purchase Order.
5. Payment Terms
Customer must pay all invoices within 30 days of the invoice date. Late payments accrue interest at the lesser of 1.5% per month (compounded monthly) or the maximum rate permitted by law. Remote Robotic may recover all costs of collection, including legal fees. Supplier may suspend future deliveries or services until all overdue amounts are paid and may require advance or milestone payments.
6. Force Majeure & Excusable Delay
Remote Robotic is not liable for delays or non-performance caused directly or indirectly by:
- Customer's actions, omissions, or delays
- Force Majeure events (e.g., natural disasters, war, civil unrest, pandemics, embargoes)
- Government actions, including export license denials
- Accidents, labor disputes, supply shortages, or any cause outside Remote Robotic's reasonable control
7. Warranty
Products are subject to the manufacturer's (OEM) warranty, which varies depending on the supplier. Remote Robotic does not provide additional warranties beyond those provided by the OEM unless expressly stated in writing.
8. Intellectual Property Rights
8.1 Software License. Remote Robotic grants Customer a nonexclusive, nontransferable, revocable license to use any embedded software in object code form solely as part of the Product. Customer may not decompile, reverse engineer, or disassemble the software; use the software to create derivative or competing products; transfer the software without Remote Robotic's written consent; or provide the software to third parties outside an approved transfer. Any transfer is subject to U.S. and Canadian export laws and may require additional authorization.
8.2 Third-Party Rights. Remote Robotic's vendors are intended beneficiaries of this license and may enforce it directly.
8.3 Exclusive Remedy. This Article constitutes Customer's sole remedy for any third-party intellectual property infringement claims.
9. Governing Law
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
10. Dispute Resolution
Any dispute arising from these Terms shall be resolved through arbitration under the Rules of Arbitration of the International Chamber of Commerce (ICC).

11. Insurance
Both Customer and Remote Robotic must maintain insurance coverage suitable for the risks associated with the Purchase Order until its completion.
12. Modification
These Terms may be modified only if the changes are in writing and signed by authorized representatives of both parties.
13. Assignment
Neither party may assign or delegate rights or obligations under a Purchase Order without prior written consent from the other party. Remote Robotic may subcontract or assign the Purchase Order to an affiliate, subsidiary, or successor entity, provided the successor assumes all obligations.
14. Waiver
A waiver of any term does not constitute a waiver of future breaches. Acceptance of one waiver does not imply acceptance of others.
15. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
